Acceptance of Terms
By creating an account, accessing the Spoors platform, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

Subject to these Terms, Spoors grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes. This licence does not permit you to:- Resell, sublicence, or distribute the Services to any third party
- Reverse engineer, decompile, or attempt to extract the source code of any part of the platform
- Use the Services to build a competing product or service
- Use automated tools, bots, or scrapers to access or extract data from the platform without prior written consent
- Interfere with or disrupt the integrity or performance of the Services or underlying infrastructure
Account Registration and Responsibilities
To access the Spoors platform, you must register for an account and provide accurate, complete, and current information. You are responsible for:- Maintaining the confidentiality of your account credentials
- All activities that occur under your account, whether or not authorised by you
- Notifying Spoors immediately at legal@spoors.in if you suspect any unauthorised access or security breach
Free Licences and Trial Terms
Free trial licences offered by Spoors are subject to the following conditions:- Free licences are valid for a period of 14 days (or as otherwise specified at the time of registration) from the date of account creation
- During the trial period, you may use the platform fully with no feature restrictions
- Free licences will not include integration capabilities, customisations, or dedicated technical support -- process assistance from the Spoors team is available
- Free licences may be extended to a paid subscription with a minimum annual commitment of 100 or more users, subject to a separate commercial agreement
- Where promotional free licences are provided as part of a paid plan, these will be applied as line-item discounts on your invoice
- Spoors reserves the right to modify, suspend, or revoke free licences at any time at its sole discretion
- Free licences cannot be transferred, credited, or carried forward beyond the terms described above
Subscriptions, Billing and Payments
Access to paid features of the Spoors platform requires a subscription governed by a separate commercial agreement or order form. Key billing terms include:- Subscription fees are billed in advance on an annual or monthly basis as agreed in your commercial terms
- All fees are quoted and payable in Indian Rupees (INR) unless otherwise specified
- Invoices are due within the payment terms specified in your commercial agreement
- Spoors reserves the right to suspend access to the platform in the event of non-payment
- Refunds are not provided for subscription fees except as required by applicable law or as expressly stated in your commercial agreement
- Spoors reserves the right to adjust pricing with reasonable notice -- typically 30 days prior to renewal
Intellectual Property
All intellectual property rights in the Spoors platform, website, mobile application, documentation, and associated materials -- including software, design, trademarks, and content -- are owned by or licensed to Spoors Technology Solutions India Pvt. Ltd. Nothing in these Terms transfers any ownership rights to you. You may not copy, reproduce, modify, or create derivative works from any part of the Services without prior written consent from Spoors. You retain ownership of any data, content, or workflows you create within the Spoors platform. By uploading or submitting data to the platform, you grant Spoors a limited licence to store, process, and transmit that data solely for the purpose of providing the Services to you.Data and Privacy
Your use of the Services is also governed by our Privacy Policy, available at spoors.in/privacy-policy/. The Privacy Policy describes how we collect, use, store, and protect your personal data. By using the Services, you consent to the data practices described in the Privacy Policy. Enterprise customers may enter into a separate Data Processing Agreement (DPA) with Spoors to address specific data protection obligations under applicable law including the Digital Personal Data Protection Act, 2023 (India) and GDPR.Prohibited Conduct
You must not use the Spoors platform or Services to:- Upload, transmit, or distribute content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Infringe the intellectual property rights of Spoors or any third party
- Introduce malware, viruses, or any other harmful code into the platform
- Collect or harvest data about other users without their consent
- Engage in any activity that violates applicable Indian law or the laws of the jurisdiction in which you operate
- Use the platform in any way that could damage, disable, or impair the Services or burden our infrastructure
Disclaimers and Limitation of Liability
Disclaimer of Warranties
The Services are provided 'as is' and 'as available'. Spoors makes no warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.Limitation of Liability
To the maximum extent permitted by applicable law, Spoors' total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amount paid by you to Spoors in the 12 months immediately preceding the event giving rise to the claim. In no event shall Spoors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.Termination
Either party may terminate these Terms and the associated Services:- By providing written notice as per the notice period specified in your commercial agreement
- Immediately if the other party materially breaches these Terms and fails to remedy the breach within 15 days of written notice
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall first be attempted to be resolved amicably through good-faith negotiations between the parties. If the dispute is not resolved within 30 days, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Hyderabad, Telangana, India. The courts of Hyderabad, Telangana shall have exclusive jurisdiction over any matter not subject to arbitration.Changes to These Terms
Spoors reserves the right to modify these Terms at any time. When we make material changes, we will update the 'Last Updated' date at the top of this page and notify you by email where required. Your continued use of the Services after any changes to these Terms constitutes your acceptance of the updated Terms.
